FICCI FLO, under the leadership of its 43rd National President, Ms. Puja Garg, organised an insightful webinar, “The Startup Legal Playbook: From Idea to Investor-Ready,” with Ms. Goda Raghavan, Partner, Corporate Transactions, AK Law Chambers. The virtual session focused on helping women entrepreneurs understand the legal foundations required to build, protect, and scale a startup, while preparing it for future investment opportunities.
The session began by highlighting the importance of choosing the right legal structure for setting up a company at an early stage in India. Ms. Raghavan explained the considerations involved in setting up a private limited company, particularly for startups looking to scale and raise external capital. She walked participants through key aspects of incorporation, including name approval, identification of shareholders and directors, documentation, financial reporting, audit and annual MCA filings, tax and sector-specific requirements.
The discussion emphasised that establishing sound legal and compliance practices from the beginning can help startups avoid complications as they grow. A key area of discussion was founder and business documentation. Participants were guided on the importance of clearly defining relationships between co-founders, documenting roles and responsibilities, and putting appropriate agreements in place. The session highlighted how strong contractual foundations can help prevent disputes and provide greater clarity as the business evolves.
The webinar also addressed intellectual property (IP) protection, covering trademarks, copyrights, and patents. Ms. Raghavan highlighted the need for startups to identify and protect their intellectual assets at an early stage and ensure that IP created for the business is appropriately documented and assigned to the company. This becomes particularly important when a startup is being valued or preparing to undergo investor due diligence.
The discussion then moved to fundraising and investor readiness. Ms. Raghavan explained the importance of maintaining proper corporate records, a clean and accurate cap table, well-documented shareholder arrangements, and other essential legal documents. Participants were also introduced to the role of legal due diligence in the investment process and how gaps in documentation or compliance can create challenges when seeking funding.
The session provided women entrepreneurs with a practical understanding of how legal preparedness can strengthen a startup’s credibility, protect its interests, and create a stronger foundation for sustainable growth and investment. The webinar concluded with an engaging Q&A session, where Ms. Raghavan addressed participants’ queries on co-founder agreements, entity structures and conversions, intellectual property, compliance, and investing in startups.
